Dynamic Materials Corporation ("DMC") is a leading provider of explosion-welded plates used in a variety of industries including upstream oil and gas, oil refinery, petrochemicals, hydrometallurgy, aluminum production, shipbuilding and power generation.

In 2007 GMB was engaged to act as DMC's exclusive advisor in its acquisition of German-based DYNAenergetics GmbH & KG, an attractive acquisition since it allowed DMC to both expand its global leadership in the explosive cladding business and simultaneously diversify into the related field of oil & gas perforating manufacturing.

GMB developed a detailed financial model with scenario analyses to advise the company on the value of the acquisition as well as the potential impact it would have on both DMC's share price and its future financing needs. In addition, GMB negotiated transaction terms including a detailed letter of intent, stock purchase agreement and other ancillary agreements. GMB also assisted DMC throughout due diligence and the acquisition process in Cologne and Hanover, Germany until close.
